Hay plc ("the Company")
TRANSFER OF TREASURY SHARES
In accordance with the provisions of Listing Rule 12.6.4, the Company hereby
notifies you that, on 18 October 2011, it transferred 4,359,229 Ordinary shares
held in Treasury at nil cost per share to the Hays Employee Share Trust to
satisfy the maturity of share awards under the Hays plc Deferred Annual Bonus
scheme (PDMRs only) and the Hays plc Performance Share Plan (PDMRs and non PDMRs).
A further 568,628 Ordinary shares held in Treasury were transferred to
participants in Australia and Canada (non PDMRs) to satisfy the maturity of
share awards under the Hays plc Performance Share Plan.
Following these transfers, Hays plc holds 74,914,082 Ordinary shares in
Treasury. The number of shares in issue is 1,389,182,484 (excluding Treasury
shares).
