HEADLINE: Annual General Meeting

Following the Annual General Meeting held on Thursday, 5 August 2010
shareholders approved the following resolutions:

Ordinary Business

Ordinary Resolution 1

To receive the Report of the Directors and Financial Statements for the year
ended 30 April 2010;

Ordinary Resolution 2

To declare a final dividend of 2.25p per share;

Ordinary Resolution 3

To approve the Directors' Remuneration Report;

Ordinary Resolution 4

To re-appoint Grant Thornton UK LLP as Auditors and authorise the Directors to
determine their remuneration;

Ordinary Resolution 5

To re-elect Mr Bryan Lenygon a Director of the Company;

Ordinary Resolution 6

To re-elect Mr James Robinson a Director of the Company;

Special Business

Ordinary Resolution 7

To release Directors from their obligation to convene an EGM and propose that
the Company be wound up.

Ordinary Resolution 8

To authorise Director to allot relevant securities;

Special Resolution 9

To authorise Directors to allot relevant securities disapplying pre-emption
rights;

Special Resolution 10

To authorise the Directors to repurchase Ordinary shares;

Special Resolution 11

To authorise the Directors to repurchase Subscription shares;

Special Resolution 12

That the period of notice required for general meetings of the Company (other
than AGMs) shall be not less than 14 clear days' notice.

Department of the Financial Services Authority or from the Registered Office of
the Company.

Retirement of Robin Baillie

As already announced in the Annual Financial Report for the year ended 30 April
2010, Robin Baillie has decided to retire after the conclusion of the Annual
General Meeting, having been a Director of the Company since April 1995. The
Board thanks Robin for the invaluable contribution made during his service as a
Director.
