HEADLINE: Voting Rights and Capital

In conformity with the Disclosure and Transparency Rules 5.61A and 5.61B we
would like to notify the market of the following:

Invesco Perpetual UK Smaller Companies Investment Trust plc's issued share
capital consists of 55,159,029 ordinary shares of 20p each with voting rights
following the Company's purchase of own shares for cancellation on 15 December
2010.

The above figure (55,159,029) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Invesco Perpetual
UK Smaller Companies Investment Trust plc under the FSA's Disclosure and
Transparency Rules.
