Keller Group plc announces that on 23 May 2005, Justin Atkinson, a

director of the Company transferred 1,721 ordinary shares to his spouse, Mrs

Gillian Atkinson, for nil consideration. Mr Atkinson's beneficial interest

in the Company's ordinary shares is unchanged as a result of this

transaction.
