HEADLINE: Management Arrangements
The Board of Keystone Investment Trust plc (the Company) will shortly be
entering into a management agreement with Invesco Fund Managers Limited (IFML),
who it has resolved to appoint as the Company's Alternative Investment Fund
Manager, in accordance with the requirements of the Alternative Investment Fund
Managers Directive. IFML will delegate management of the Company's portfolio to
the Company's current Investment Manager, Invesco Asset Management Limited, and
Mark Barnett will continue to be responsible for the day to day management of
the Company's portfolio.
In the course of this negotiation, the Board has agreed an improved new fee
arrangement, with an effective date of 1 July 2014. Under this new arrangement
IFML is entitled to a management fee at a rate of 0.6% per annum (previously
0.8%) of the Company's market capitalisation. In addition, IFML is entitled to
a performance-related fee if the total return from the Company's NAV exceeds
that of the FTSE All-Share Index by more than 1.25% per annum (previously 2%)
over a rolling three-year period. Other terms relating to fees and notice
remain unchanged from the existing management agreement.
