                                 NOTICE OF AGM                                 

Lancashire Holdings Limited (the "Company") will hold its Annual General
Meeting ("AGM") on 14 May 2009 at 1pm (Bermuda time) at its Bermuda office,
Mintflower Place, 8 Par-la-Ville Road, Hamilton HM 08, Bermuda. Notice of the
AGM ("AGM Notice"), a form of proxy, a form of direction for holders of
depository interests and the annual report and accounts for the year ended 31
December 2008 have been posted to Shareholders today.

Copies of the AGM Notice and the annual report and accounts will be available
on the Company's website www.lancashiregroup.com from today.

Copies of the new Bye-laws to be adopted pursuant to Resolution 8, as detailed
in the AGM Notice, are available from the Company Secretary at Lancashire
