Transaction in own shares
Lancashire Holdings Limited (the "Company") announces that today, 14 October
2014, it purchased 106,603 Common Shares at a price of 633.83 pence per share
(approximately $10.11 per share at the current exchange rate).
The lowest price and the highest price paid for these shares were 631.0 pence
and 635.0 pence, respectively. All the purchased shares will be held initially
as Treasury shares. The Company expects to use the shares in the future towards
satisfying its obligations under both its Restricted Share Scheme ("RSS")
awards and the Company's warrants.
As announced on 03 October 2014, these purchases were made by Numis Securities
Limited pursuant to an irrevocable arrangement to repurchase on the
Company's behalf and within certain pre-set parameters Common Shares of US$0.50
each up to an aggregate value, including costs, of $25 million. This
arrangement is in accordance with Rules 12.2.1R and 12.4.4R of the Listing
Rules and the Company's general authority to repurchase shares.
Following the above purchases, the Company holds 2,864,522 Common Shares in
Treasury.
The Company has 189,248,076 Common Shares in issue (excluding Treasury shares).
The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, the Company under the Financial
Conduct Authority's Disclosure Rules and Transparency Rules.
