ANNUAL GENERAL MEETING WEDNESDAY 31 MARCH 2010 Results of Proxy Voting The Law Debenture Corporation p.l.c. confirms that the following proxy votes were received ahead of its annual general meeting held this morning. Total valid proxies received - 29,607,050 (25.08% of the total voting rights in issue). The percentage of those votes expressed to be in favour of each resolution (or where discretion was given to the Chairman of the meeting or another person, in which case it is assumed that those votes would also have been declared in favour) are set out below: Resolution No. 1. To receive the directors' report and accounts - 98.95% 2 To approve the directors' remuneration report - 99.23% 3 To declare a final dividend - 100% 4 To re-elect DCP McDougall as a director - 98.94% 5 To re-elect AC Cates as a director - 98.70% 6 To re-elect Mrs CJ Banszky as a director - 99.41% 7 To re-elect Professor JA Kay as a director - 99.52% 8 To re-elect C Smith as a director - 99.51% 9 To re-appoint BDO LLP as auditors - 98.70% 10 To renew the company's general authority to make limited market purchases of its own shares - 99.37% 11 To renew the directors' general authority to allot shares - 98.86% 12 To approve the disapplication of statutory pre-emption rights - 98.60% 13 To amend the articles of association - 99.43% 14 To convene a general meeting at short notice - 99.05% All resolutions were approved by the required majority. Resolutions 1 to 9 were proposed and passed as ordinary resolutions. Resolutions 10 to 14 were proposed and passed as special resolutions requiring a 75% majority. Copies of resolutions 10 to 14, being special resolutions, have been issued to the UKLA's document viewing facility where they may be viewed free of charge.
