In conformity with the Transparency Directive's transitional provision 6, The
Law Debenture Corporation p.l.c. announces that:

The Law Debenture Corporation p.l.c.'s issued share capital consists of
117,720,013 ordinary shares with voting rights. There are no other classes of
share capital and none of the Corporation's issued shares are held in Treasury.
Therefore the total number of voting rights in The Law Debenture Corporation
p.l.c. is 117,720,013.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, The Law Debenture Corporation
p.l.c under the FSA's Disclosure and Transparency Rules.
