Notification of directors' interests: Companies Act 1985 s.324 and s.329.

The trustee of the Liontrust Asset Management Employee Trust notified the
Company that, under the Liontrust Enterprise Management Incentive Scheme, it
granted on 11 July 2005 options over ordinary shares in the Company to the
following executive directors:

N.R. Legge - options over 80,000 ordinary shares of the Company with an
exercise price of 297.5p per share and an exercise period between 11 July 2008
and 10 July 2015. The total number of ordinary shares over which options are
held by N.R. Legge following this notification is 250,097.

V.K. Abrol - options over 80,000 ordinary shares of the Company with an
exercise price of 297.5p per share and an exercise period between 11 July 2008
and 10 July 2015. The total number of ordinary shares over which options are
held by V.K. Abrol following this notification is 196,030.

J.D. Lang - options over 351,582 ordinary shares of the Company with an
exercise price of 297.5p per share and an exercise period between 11 July 2008
and 10 July 2015. The total number of ordinary shares over which options are
held by J.D. Lang following this notification is 1,019,247.

W.T. Pattisson - options over 351,582 ordinary shares of the Company with an
exercise price of 297.5p per share and an exercise period between 11 July 2008
and 10 July 2015. The total number of ordinary shares over which options are
held by W.T. Pattisson following this notification is 1,019,247.

As the Liontrust Enterprise Management Incentive Scheme is for the benefit of
all employees, not just executive directors, a further 1,641,461 options over
the ordinary shares of the Company with an exercise price of 297.5p per share
and an exercise period between 11 July 2008 and 10 July 2015, were granted to
other employees. In total, options were granted to all employees, including
directors, over 2,504,625 ordinary shares.
