September 2004 of dealing in the Company's ordinary shares as follows:

Nigel Legge, Vinay Abrol and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
23 September 2004 were allocated 127 ordinary shares each at a price of 295p
per share.

Nigel Legge's total interest following this notification is 881,108 ordinary
shares or 2.52% of the total issued share capital of the Company. Vinay Abrol's
total interest following this notification is 397,293 ordinary shares or 1.14%
of the total issued share capital of the Company. Andrew Yates' total interest
following this notification is 483,719 ordinary shares or 1.38% of the total
issued share capital of the Company.
