Notification of directors' interests: Companies Act 1985 s.329

The Trustee of the Liontrust Asset Management Employee Trust has notified the
Company that it acquired in the market a total of 100,000 ordinary shares in
the Company on 31 December 2004 at a price of 296p per share. Following this
transaction, the Trust held a total of 2,001,251 ordinary shares in the Company
in which the following directors had an interest as potential beneficiaries: V
K Abrol, N R Legge, J D Lang, W T Pattisson and A J V Yates. The Liontrust
Asset Management Employee Trust is a trust, which purchases or subscribes for
ordinary shares in the Company, so as to allow the Trustee to satisfy the
exercise of options granted under the Liontrust Enterprise Management Incentive
Scheme.
