Directors' shareholdings - Tender Offer

In the Tender Offer which was approved at the EGM on 27 June 2005 the Ordinary
Shares under the Tender Offer being bought back by the company at the strike
price of 104p include the following directors' holdings:

Following the tender offer M A Heller, J A Heller and their families have an
interest in 42,949,187 shares, representing 56.34 per cent of the issued share
capital.
