Director Shareholding

MAJEDIE INVESTMENTS PLC

On 22 March 2004 the Company was advised that the following share transactions
involving the beneficial holdings of two Directors of the Company were
completed on that day.

The sale by Sir John K Barlow of 50,000 Ordinary shares at a price of 220.00p
each reduced his beneficial holding to 2,860,642 Ordinary shares of 10p each
(representing 5.45% of the issued class of capital) and;

The purchase by Safeguard Limited of 50,000 Ordinary shares at a price of
220.00p each increased Henry S Barlow's beneficial holding to 14,605,619
Ordinary shares of 10p each (representing 27.81% of the issued class of
capital).

The non-beneficial interests of Sir John K Barlow and Henry S Barlow remain
unchanged.
