At the Annual General Meeting due to be held on 23 September 2008, it is
proposed that Oxford Instruments plc adopts amended Articles of Association in
line with changes made by the Companies Act 2006. A summary of the proposed
changes is set out in the Notice of 2008 Annual General Meeting and the
