NOTIFICATION OF TRANSACTIONS OF DIRECTORS' DEALINGS

Oxford Instruments plc (the "Company") announces that the following directors'
dealings took place:

On 8 January 2014, the following directors acquired ordinary shares of 5p each
in the Company upon the exercise of options granted under the Oxford
Instruments 2001 Executive Share Option Scheme "ESOS" and the Oxford
Instruments plc Senior Executive Long Term Incentive Scheme "SELTIS". In
accordance with the terms of the ESOS, all options (except for approved
options) were "net gain" settled as share appreciation rights by reference to
the mid market closing price of the Company's shares on 7 January 2014 (1811p)
and the relevant option price. A number of shares from both the ESOS and SELTIS
were then sold in the market between 8 and 10 January 2014 at an average price
of 1723.7955p, with the balance being retained by the directors, as follows:-
