Appointment of New Senior Independent Director
With immediate effect, Professor Michael Hughes has succeeded Professor Michael
Brady as the nominated Senior Independent Director of Oxford Instruments plc in
accordance with Provision A.3.3 of the Combined Code on Corporate Governance
("the Code"). The appointment reflects the fact that Mike Brady, having served
as a Director of the Company for more than nine years, in accordance with
Provision A.3.1 of the Code is now considered to be non-independent. Mike Brady
will continue to serve on the Board as Deputy Chairman.
Mike Hughes was appointed as a Non-Executive Director of the Company in
November 2004 and is a member of the Company's Audit and Remuneration
Committees. He is also Chairman of EA Technology Limited, a Non-Executive
Director of South Staffordshire Group plc and Non-Executive Chairman of Cyan
Holdings plc.
