Online Travel Corporation plc ('OTC') announces that 1,663,752 new OTC ordinary
shares of 1p each (the 'New Ordinary Shares') have been issued and allotted to
the vendors of All-Hotels Limited ('AHL') at a price of 28p per share to
satisfy the deferred and additional consideration of £465,850 due pursuant to
the AHL acquisition agreement dated 23 September 2002.

Application has been made for the New Ordinary Shares to be admitted to trading
on the Alternative Investment Market of the London Stock Exchange.
