                          PENDRAGON PLC ('Pendragon')                          

As a result of the reduction of Pendragon's issued share capital following
Pendragon's share buy back announced on 21 March 2003 and 25 March 2003, the
following percentage holdings of the total issued share capital of Pendragon
PLC have changed.

Fidelity International Limited (last reported holding of 7,223,391 Pendragon
ordinary shares) now represents 13.61% of Pendragon's issued share capital.

Jupiter Asset Management Limited (last reported holding of 4,617,776 Pendragon
ordinary shares) now represents 8.70% of Pendragon's issued share capital

Standard Life Investments Limited (last reported holding of 3,018,751 Pendragon
ordinary shares) now represents 5.69% of Pendragon's issued share capital.

Schroder Investment Management Limited (last reported holding of 2,300,000
Pendragon ordinary shares) now represents 4.33% of Pendragon's issued share
capital.

Legal and General Investment Management Limited (last reported holding of
1,848,676 Pendragon ordinary shares) now represents 3.48% of Pendragon's issued
share capital.

Prudential plc (last reported holding of 1,701,000 Pendragon ordinary shares)
now represents 3.20% of Pendragon's issued share capital.

On 25th March 2002 Unicorn Asset Management Limited confirmed that, following a
transaction on 24th March 2002, its total holding of ordinary shares in
Pendragon no longer constitutes a notifiable interest in the share capital of
Pendragon
