                          PENDRAGON PLC ('Pendragon')                          

On 2 February 2004 AEGON UK plc Group of Companies confirmed that, following a
recent transaction its total notifiable interest in the ordinary shares in
Pendragon has increased to 4,401,922 shares, which represents 3.36% of
Pendragon's issued share capital.

On 2 February 2004 Standard Life Investments Limited confirmed that following a
transaction on 30 January 2004 its total notifiable interest in the ordinary
shares in Pendragon has decreased to 4,305,351 shares, which represents 3.28%
of Pendragon's issued share capital.
