Result of General Meeting and Class Meetings

Rights and Issues Investment Trust plc (the “Company”) held separate class meetings (the “Separate Class Meetings”) of the holders of the Company’s capital shares of 25p each and income shares of 25p each (together the “Shareholders”) and the General Meeting of the Company (the “General Meeting”) on 2 June 2016.  At the Separate Class Meetings and the General Meeting the Shareholders approved the Special Resolutions, as set out in full in the Notice of Meetings, circulated on 27 April 2016. These resolutions authorised:

1)         the Directors to allot shares, including without applying pre-emption rights;

2)         the conversion of the Capital Shares into Income Shares;

3)         the share premium account and Capital Reserve to be capitalised and applied in paying up in full new Income Shares;

4)         the adoption of the amended Articles of Association;

5)         the payment of special dividends; and

6)         the Directors to make market purchases of Income Shares.

Copies of all the resolutions passed at the Separate Class Meetings and the General Meeting will be available for inspection at the National Storage Mechanism shortly.

Shareholders are reminded of the following key dates, in relation to conversion of Capital Shares, the allotment of new shares and the payment of the special dividends.
