Rolls-Royce Group plc announces that on 29 March 2004 the Rolls-Royce Employee
Share Trust entered into an agreement to acquire 2,723,570 shares at an average
price of 220.29 pence per share for the purpose of satisfying, in due course,
awards granted under the Rolls-Royce Deferred Share Plan.
