Further re AGM Meeting

At its Annual General Meeting on 29 May 2003, Rolls-Royce passed a special
resolution in connection with the scheme of arrangement to introduce a new
holding company. A copy of the special resolution is available for inspection
at the UK Listing Authority's Document Viewing Facility situated at the
Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14.
