Application for Listing

Serco Group plc

(the 'Company')

Application has today been made to the UK Listing Authority and the

London Stock Exchange for up to 34,762,885 ordinary shares of 2

pence each to trade on the London Stock Exchange and to be admitted to

the Official List. This is the maximum number of shares which may be

issued in relation to the offer to acquire the entire issued and to be

issued share capital of ITNET plc. The shares will rank pari passu with

the existing issued shares of the Company.
