Director/PDMR Shareholding

Serco Group plc (the "Company") was notified on 22 October 2009 that, on 21
October 2009, Andrew Jenner, Finance Director, and persons connected with him
entered into transactions in the Company's ordinary shares in the London
market.

In total, 171,955 shares were sold at 524.7069 pence per share, of which
160,955 were registered in the name of Mr Jenner's wife, Mrs Jane Jenner, with
the balance being held by Mr Jenner following a transfer from his wife on the
same day of 11,000 shares.

Following this transaction, Mr Jenner has a beneficial interest in 198,075
ordinary shares in the Company representing 270% of his shareholding
requirement, plus interests through the Company's share-based incentive schemes
in a further 1,155,279 shares in the Company.

This notice is given in fulfilment of obligations under DTR3.1.2R and DTR3.1.4R
(1)(a).
