Serco Group plc (the "Company") was notified that, on 4 April 2011, the
individuals below, each a person discharging managerial responsibility,
purchased the number of ordinary shares in the Company shown below opposite
their names at a price of 550.6647p as Investment Shares under the terms of the
Company's Deferred Bonus Plan:

exercisable at nil cost) the number of ordinary shares of 2p each in the
Company shown below opposite their names, through participation in the Serco
Group plc Performance Share Plan:
