The Company (each a person discharging managerial responsibility) were granted
options to acquire the number of ordinary shares of 2p each in the Company
shown below opposite their names through participation in the Serco Group plc
Performance Share Plan:

The Company also announces that further to the investment by Andrew Jenner on
11 June 2009 and the investment by Christopher Hyman on 12 June 2009 under the
Deferred Bonus Plan, the number of ordinary shares of 2p each in the Company
shown below opposite their names have been set aside in Trust to satisfy the
matching award:
