Serco Group plc ('Serco') confirms that, following the allotment of new Serco
ordinary shares in connection with the acquisition of ITNET plc, Serco's issued
share capital as at close of business on 23 February 2005 is now 463,243,421
ordinary shares.

Please be advised that further allotments for shares will be taking place in
respect of this acquisition and announcements will be issued accordingly.
