Serco Group plc ('Serco') confirms that, following the allotment of new Serco
ordinary shares in connection with the acquisition of ITNET plc, Serco's issued
share capital as at close of business on 17 February 2005 was 462,907,798
ordinary shares.

Please be advised that further allotments of new Serco ordinary shares are
expected to take place in respect of this acquisition and announcements will be
issued accordingly.
