Directors' Acquisition of Shares

  

Capital & Counties Properties PLC (the "Company") has been notified that:

 i. Purchase of Shares by Ian Hawksworth:
   
Between 20 and 21 December 2011, Ian Hawksworth, the Company's Chief Executive,
purchased a total of 193,033 ordinary shares of 25p each at an average price of
177.8831p per share to be held in Mr. Hawksworth's SIPP Account.

On 22 December 2011, Ian Hawksworth purchased a further 1,415 ordinary shares
of 25p each at a price of 182.4p per share.

Ian Hawksworth now holds 479,069 ordinary shares of 25p each in the Company
(0.070%).

ii. Purchase of Shares by Gary Yardley:
   
Between 20 and 21 December 2011, Gary Yardley, the Company's Investment
Director, purchased a total of 186,445 ordinary shares of 25p each at an
average price of 177.8831p per share to be held in Mr. Yardley's SIPP Account.

On 22 December 2011, Gary Yardley purchased a further 1,367 ordinary shares of
25p each at a price of 182.4p per share.

Gary Yardley now holds 427,972 ordinary shares of 25p each in the Company
(0.063%).

iii. Awards of Matching Options:
   
Pursuant to the Company's Matching Share Plan, on 22 December 2011 the
following nil cost matching options were awarded:
