Amended Director Declaration

Further to the appointment of Mr John O'Higgins as Chief Executive (as         
announced on 4 January 2006), Spectris plc confirms that there is no           
information which requires disclosure under paragraphs 9.6.13  (2) to (6) of   
the Listing Rules.                                                             
                                                                               
In relation to paragraph 9.6.13(1) of the Listing Rules, Spectris plc hereby   
discloses that Mr O'Higgins was a director of Honeywell Automation India Ltd   
for the period 20 January 2004 to 21 December 2005.   Honeywell Inc, Mr        
O'Higgins' previous employer, is the majority shareholder of that company.  The
minority shareholding is quoted on the Mumbai Stock Exchange.                  
                                                                               
Mr O'Higgins will formally be appointed to the Board on 11 January 2006.
