Further to the appointment today of Mr Steve Hare as Group Finance Director (as
announced on 11 October 2004), Spectris plc confirms that there is no          
information which requires disclosure under paragraphs 6.F.2 (b) to (c) and (e)
to (g) of the Listing Rules.                                                   
                                                                               
In relation to paragraph 6.F.2 (d) of the Listing Rules, Spectris plc hereby   
discloses that Mr Hare was a director of Marconi plc when that company entered 
into a Scheme of Arrangement with its creditors on 29 August 2002.
