SHARE AWARDS TO DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
("PDMRs")
SPECTRIS PERFORMANCE SHARE PLAN
Under the terms of the Spectris Performance Share Plan, nominal cost options
(with the grantee being required to pay, on the vesting of the Award, the par
value of any shares released to him) were granted on 18 May 2006 to certain
directors and PDMRs of the Company in respect of the 3 year performance period
1 January 2006 to 31 December 2008. The maximum number of Spectris plc 5p
Ordinary shares which each executive could potentially receive in respect of
this performance period, is as follows:

There are two performance conditions applying to the Share Award. 50% of the
Award will be subject to a performance condition based on the compound annual
earnings per share (EPS) growth in excess of the Consumer Prices Index (CPI)
measured over three financial years commencing with the financial year in which
the Award is granted. The other 50% of the Award will be subject to a
performance condition comparing the Company's total shareholder return against
a comparator group comprised of the FTSE 250 (excluding Investment Trusts) over
three years from the date of grant.
Shares vesting from the Award shall be retained by the directors and PDMRs
until their total shareholding in Spectris exceeds once times salary in value.
