This notification is made in accordance with DTR 3.1.4(1)(a).

On 1 October 2006, awards were granted under the Spectris Performance Share
Plan ("Plan") to certain directors and persons discharging managerial
responsibilities.

The awards were granted in the form of nominal cost options with an exercise
price of 5 pence per share.

The awards became exercisable on 1 October 2009 for a period of 12 months.

On 1 December 2009, the following individual exercised a portion of his award
in accordance with the rules of the Plan over the number of shares set out in
the table below.
