Announcement to the London Stock Exchange
This notification is made in accordance with DTR 3.1.4(1)(a) and LR 12.6.4.
On 21 March 2011, awards granted under the Spectris Performance Share Plan
("Plan") to certain directors and persons discharging managerial
responsibilities were exercised, as announced by the Company on 22 March 2011.
A number of individuals (where noted below) sold a proportion of the shares
acquired to fund their tax liabilities. The disposals were made on the London
Stock Exchange.

The above awards were satisfied using treasury shares. In total 33,161 treasury
shares were transferred from the Company's treasury reserves.
Following the above transfer, the total number of Spectris plc ordinary shares
in issue (excluding the total of 8,949,387 ordinary shares now held in
treasury) is 116,055,736.
