Spectris plc ('the Company') was today notified that on 29 July 2004, Paul     
Victor Boughton exercised an option over 20,518 shares (0.016% of the issued   
share capital of the Company) at an exercise price of 388.9081 pence.   All of 
the resulting 20,518 shares in the Company were retained by Mr Boughton.       
                                                                               
Following this notification, Mr Boughton's beneficial holding in the Company   
increased to 100,598 ordinary shares of 5 pence each (0.081% of the issued     
share capital of the Company) and he has  318,601 shares in the Company
