               RE. ACQUISITION OF INVESTMENT AND ISSUE OF EQUITY               

Further to the announcement on 8 July 2009 regarding the proposed acquisition
by SEC of 3i Group plc's limited partnership interest in Strategic Recovery
Fund II, the Board announces that a circular to Shareholders will be posted
today, which contains further details relating to the Acquisition and includes
the notice convening a general meeting of the Company for 10.00 a.m. on Friday,
14 August 2009 at which a resolution to approve the Acquisition and related
matters will be proposed. Copies of that circular have been submitted to the UK
Listing Authority and will shortly be available for inspection at the UK
Listing Authority's Document Viewing Facility, which is situated at:
