("Surface Transforms" or "the Company")
Results of meeting
At the extraordinary general meeting held earlier today, all resolutions were
duly passed, including the grant of authority to the Company to place 5,000,000
new ordinary shares at 20p per share to raise £1 million before expenses.
As previously announced, John East & Partners Limited has placed the new
ordinary shares with institutional and certain other investors, on behalf of
the Company. John East & Partners Limited is joint broker to the Company.
Trading in the new ordinary shares is expected to commence on 28 August 2007.
Following admission, the Company will have in issue 19,030,748 voting ordinary
shares of 1p each.
Directors' shareholdings
As previously announced, Kenneth Baker and Kevin D'Silva have subscribed for
50,000 and 100,000 ordinary shares in the placing, respectively. Immediately
following the admission of the placing shares to trading on AIM Kenneth Baker
will hold 90,000 ordinary shares and Kevin D'Silva will hold 256,986 ordinary
shares, which will represent 0.47 per cent. and 1.35 per cent., respectively,
of the enlarged issued share capital.
