In compliance with rule 9.32 of the Listing Rules, Toad has today submitted to
the UK Listing Authority the Annual Report and Financial Statements of the
Company and supporting documentation including the notice of Annual General
Meeting and Form of Proxy.

The Annual General Meeting of the Company will be held at 10 am on the 17th May
2005 at The National Control Centre, Drake Road, Mitcham, Surrey CR4 4HQ

The above documents will shortly be available for inspection at the UK Listing
