number 56128 and registered as a Registered Closed-ended Collective Investment
Scheme with the Guernsey Financial Services Commission)

VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive we would like to notify the
market of the following:

As at 31 October 2014, the capital of TwentyFour Income Fund Limited (the
"Company") consists of 284,908,712 ordinary shares of 1 p each.

Therefore as at 31 October 2014, the total number of voting rights for ordinary
shareholders in Company is284,908,712.

The above details may be used by shareholders as the denominator for the
calculations, by which they may determine if they are required to notify their
interest in, or a change to, their interest in, the Company under the FCA's
Disclosure and Transparency Rules.
