accordance with the financial reporting obligations of the Disclosure and
Transparency Rules.
Copies of the Annual Report and Financial Statements and the Notice of Annual

PROPOSED RESOLUTION TO AMEND THE ARTICLES OF ASSOCIATION
At the forthcoming annual general meeting to be held on Friday 22 July 2011 at
the Midland Hotel, Peter Street, Manchester M2 3NQ, a resolution will be put to
the meeting to amend the articles of association. In line with the UK Corporate
Governance Code recommendation for all directors to be subject to annual
election by shareholders the amendment proposed would, in the event that
insufficient directors were reappointed at an annual general meeting, allow for
additional directors to be appointed in order that the company could continue
to be run as a going concern. Explanatory notes can be found in the Notice of
Annual General Meeting. The proposed new articles of association along with a
marked up version of the existing articles of association are available on the

be available for available for inspection at the National Storage Mechanism as
detailed above.
