Performance Share Plan

Directors' and PDMR's hold the following awards in accordance with the rules of
the United Utilities PLC Performance Share Plan. The figures reflect the
maximum number of shares over which an award might be exercised as at today's
date and before any adjustment made for dividends during the balance of the
performance period as appropriate. The actual number will depend upon the
extent to which the established performance conditions are satisfied over the
performance period. The awards are issued for nil consideration and may be
exercised at nil cost to the participant.

Retention Awards

As part of the terms of Philip Green's recruitment, a matched share incentive
scheme was established for him as sole participant provided he remains with the
group until 12 February 2011.

As part of the terms of Tim Weller's recruitment, a matched share incentive
scheme was established for him as sole participant provided he remains with the
group up to and beyond the implementation of the next regulatory reviews.

In order to facilitate the retention of Charlie Cornish up to and beyond the
next regulatory reviews, a special long-term incentive scheme was established
for him as sole participant. The award is subject to performance conditions.

The figures shown below reflect the maximum number of shares over which an
award may vest as at today's date and before any adjustment made for dividends
during the balance of the period prior to vesting.

Executive share options

Martin Bradbury holds an option over 6,361 ordinary shares in the United
Utilities Executive (Unapproved) Share option scheme at an option price of
750.5p per share.

Redeemable preference shares of £1.00 each

Tom Keevil holds 50,000 £1.00 redeemable preference shares, which will be
redeemed at the latest by 31 December 2008.
