UNITED UTILITIES GROUP PLC
MATCHING SHARE AWARD PLAN
The ordinary shares in United Utilities Group PLC shown in column 1 below were
allotted in the UK on 8 July 2011 using the market price at the close of
trading on the London Stock Exchange on 7 July 2011, to the undernoted
directors and persons discharging managerial responsibility in exchange for
full market value. These shares will constitute `investment shares' as defined
in the rules of the United Utilities Group PLC 2008 Matching Share Award Plan
(the `Plan') which was approved by the shareholders at the general meeting on 1
July 2008.
On 8 July 2011, the trustees of the Plan also granted awards in the UK, over
`matching shares' as defined in the rules of the Plan as shown in column 2
below. The award gives each director/PDMR an option to acquire up to a maximum
number of ordinary shares in United Utilities Group PLC at nil cost to them
subject to the rules of the Plan as shown in column 2. The actual number of
ordinary shares which will vest will depend upon the extent to which the
established performance conditions are satisfied over the performance period.
Under the rules, the awards are subject to uplift for notional dividends made
or paid during the performance period.

PERFORMANCE SHARE PLAN
The following contingent option awards were granted in the UK on 8 July 2011 to
the undernoted directors and persons discharging managerial responsibility
pursuant to the rules of the United Utilities Group 2008 Performance Share Plan
as approved by the shareholders at the general meeting on 1 July 2008. The
figures reflect the maximum number of shares over which the option might be
exercised. The actual number will depend upon the extent to which the
established performance conditions are satisfied over the performance period.
Under the rules, the awards are subject to uplift for notional dividends made
or paid during the performance period.
