The following contingent option awards were granted in the UK on 13 July 2010
to the undernoted directors and persons discharging managerial responsibility
pursuant to the rules of the United Utilities Group 2008 Performance Share Plan
as approved by the shareholders at the General Meeting on 1 July 2008. The
figures reflect the maximum number of shares over which the option might be
exercised. The actual number will depend upon the extent to which the
established performance conditions are satisfied over the performance period.
Under the rules, the awards are subject to uplift for notional dividends made
or paid during the performance period.

MATCHING SHARE AWARD PLAN
The ordinary shares in United Utilities Group PLC in column 1 below were
allotted in the UK after close of the market on 13 July 2010 to the undernoted
directors and persons discharging managerial responsibility at full market
value. These shares will constitute investment shares as defined in the rules
of the United Utilities Group PLC 2008 Matching Share Award Plan (the "Plan")
which was approved by the shareholders at the General Meeting on 1 July 2008.
On 13 July 2010, the trustees of the Plan granted in the UK, matched share
awards as listed in column 2 below. The matching share awards give each
executive an option to acquire up to a maximum number of ordinary shares in
United Utilities Group PLC at nil cost to them subject to the rules of the
Plan. The actual number of ordinary shares which will vest will depend upon the
extent to which the established performance conditions are satisfied over the
performance period. Under the rules, the awards are subject to uplift for
notional dividends made or paid during the performance period.
