The Company was informed that on 3 October 2007, the Trustees of the John Wood
Group PLC US Employee Share Trust ("US EST"):
* transferred 20,000 ordinary shares in the capital of the Company at a
consideration of 158 pence per share, being 0.0038% of the share capital of
the Company, to employees of the Company, and its subsidiaries, exercising
share options under the John Wood Group PLC 2002 (No 1) Executive Share
Option Scheme;
* transferred 60,000 ordinary shares in the capital of the Company at a
consideration of 83.333 pence per share, being 0.01141% of the share
capital of the Company, to employees of the Company, and its subsidiaries,
exercising share options under the John Wood Group PLC 2000 Approved and
Unapproved Executive Share Option Scheme;
and on 4 October 2007:
* sold 87,500 ordinary shares in the capital of the Company at £4.073465 per
share, being 0.0166% of the share capital of the Company pursuant to
exercises of share options under the John Wood Group PLC 2002 (No 1)
Executive Share Option Scheme;
And on 5 October 2007
* sold 27,697 ordinary shares in the capital of the Company at £4.043399 per
share, being 0.0052% of the share capital of the Company pursuant to
exercises of share options under the John Wood Group PLC 2003 Long Term
Retention Plan;
* sold 7,818 ordinary shares in the capital of the Company at £4.109413 per
share, being 0.0014% of the share capital of the Company pursuant to
exercises of share options under the John Wood Group PLC 2003 Long Term
Retention Plan;
* sold 20,780 ordinary shares in the capital of the Company at £4.109413 per
share, being 0.0039% of the share capital of the Company pursuant to
exercises of share options under the John Wood Group PLC 2002 (No 1)
Executive Share Option Scheme;
* transferred 44,220 ordinary shares in the capital of the Company at a
consideration of 158 pence per share, being 0.0084% of the share capital of
the Company, to employees of the Company, and its subsidiaries, exercising
share options under the John Wood Group PLC 2002 (No 1) Executive Share
Option Scheme;
* transferred 6,030 ordinary shares in the capital of the Company at a
consideration of 0.03333 pence per share, being 0.0011% of the share
capital of the Company, to employees of the Company, and its subsidiaries,
exercising share options under the John Wood Group PLC 2003 Long Term
Retention Plan;
Following these transactions, the US EST holds a total of 4,997,754 ordinary
shares representing 0.953% of the share capital of the Company.
The class of discretionary beneficiaries for whom the US EST holds such shares
consists of employees of the Company, including Alan G Semple, executive
director of the Company. Such director is accordingly deemed to be beneficially
interested in the shares held by the US EST.
The transaction noted above does not involve any of the Company's directors or
any persons discharging managerial responsibility.
