John Wood Group PLC ("Company")
The Company has been informed that on 1 August 2007, the Trustees of the John
Wood Group PLC Employee Share Trust ("EST"):
* transferred 12,117 ordinary shares in the capital of the Company at a
consideration of 3.333 pence per share, being 0.0023% of the share capital
of the Company, to employees of the Company, and its subsidiaries,
exercising share options under the John Wood Group PLC 2003 Long Term
Retention Plan;
Following these transaction, the EST holds a total of 15,873,023 ordinary
shares representing 3.032% of the share capital of the Company.
The class of discretionary beneficiaries for whom the EST holds such shares
consists of employees of the Company, including the following executive
directors of the Company: Allister G Langlands, Leslie J Thomas and Mark H
Papworth. Each of such directors is accordingly deemed to be beneficially
interested in the shares held by the EST.
The transaction noted above does not involve any of the Company's directors or
any persons discharging managerial responsibility.
