NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS

DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with DR 3.1.2R(1)(a) the Company was informed that on 3 November
2008 the following transaction was made by a Director of the Company:

Leslie James Thomas

Exercised 50,000 share options, being 0.009% of the issued share capital of the
Company, at 3 1/2 pence per share, such options having been granted on 1 November
2004 under the John Wood Group PLC (No 1) 2003 Long Term Retention Plan.
Immediately upon exercise, all shares were transferred to Mrs Anne Thomas.

Following this transaction, Mr Thomas has a beneficial interest in 586,649
ordinary shares representing 0.111% of the issued share capital of the Company
and holds 250,000 share options.

This acquisition was made as a long term investment in the Company.

The Company's issued capital consists of 527,836,720 ordinary shares with
voting rights. The Company holds no shares in Treasury.
