NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS
DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
In accordance with DTR 3.1.2R, the Company was informed that on 12 October
2012, Mike Straughen a Director of the Company:
* exercised 50,000 share options granted on 25 March 2008 under the John Wood
Group PLC 2003 Long Term Retention Plan, being 0.01% of the issued share
capital of the Company, at an exercise price of 3.333 pence per share;
* sold 50,000 shares, being 0.01% of the issued share capital of the Company,
on the London Stock Exchange at a price of £8.445 per share.
Following these transactions, Mr Straughen is interested in 95,848 ordinary
shares representing 0.026% of the issued share capital of the Company, of which
43,680 are held with beneficial interest only, and holds 40,000 share options.
The Company's issued capital consists of 371,275,384 ordinary shares with
voting rights.
