NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS
DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
In accordance with DTR 3.1.2R, and DTR 3.1.4, the Company has been informed on
2 June 2011 that the transactions detailed below have taken place:
* between (i) the trustees of the I C Wood 1981 Settlement Trust (the "1981
Trust"), being Triegen Securities Ltd, Mr. David Ian Johnston and Mr.
Graham Good, and (ii) J.P. Morgan Securities Limited;
* between (i) the trustees of the Sir Ian C Wood 1997 Discretionary Trust
(the "1997 Trust"), being Sir Ian C Wood (Chairman of the Company), Mr.
David Ian Johnston and Mr. Graham Good, and (ii) J.P. Morgan Securities
Limited;
* between (i) the trustees of The Wood 2010 Trust (the "2010 Trust"), being
Sir Ian Wood and Mr. Graham Good, and (ii) J.P. Morgan Securities Limited;
and
* between (i) the trustees of the Wood Family Trust (the "WFT"), being Sir
Ian Wood, Lady Helen Wood, Mr Garreth Wood and Mr. Graham Good, and (ii)
J.P. Morgan Securities Limited.
On 2 June 2011:
* the trustees of the 1981 Trust disposed of 28,987,413 ordinary shares in
the Company (being 5.360% of the issued share capital of the Company prior
to the transaction) to J.P. Morgan Securities Limited at a price per share
of £6.25;
* the trustees of the 1997 Trust disposed of 2,954,060 ordinary shares in the
Company (being 0.546% of the issued share capital of the Company prior to
the transaction) to J.P. Morgan Securities Limited at a price per share of
£6.25;
* the trustees of the 2010 Trust disposed of 23,000,000 ordinary shares in
the Company (being 4.253% of the issued share capital of the Company prior
to the transaction) to J.P. Morgan Securities Limited at a price per share
of £6.25; and
* the trustees of the WFT disposed of 3,545,805 ordinary shares in the
Company (being 0.656% of the issued share capital of the Company prior to
the transaction) to J.P. Morgan Securities Limited at a price per share of
£6.25.
By virtue of being trustees of the 1981 Trust and the 1997 Trust, Mr. David Ian
Johnston and Mr. Graham Good are connected persons of Sir Ian Wood for the
purposes of DTR 3.1.2R. Mr. Graham Good is also a connected person of Sir Ian
Wood for the purposes of DTR3.1.2R by virtue of being a trustee of the 2010
Trust and the WFT.
Following these transactions Sir Ian Wood's interests in the shares of the
Company are as follows:
* Beneficial interest: 27,608,963 ordinary shares, representing 5.814% of the
issued share capital of the Company; and
* Non-beneficial interest: 5,000,000 shares, representing 1.053% of the
issued share capital of the Company.
The Company's issued capital consists of 474,911,204 ordinary shares with
voting rights. The Company holds no shares in Treasury.
