NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS

DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with DTR 3.1.2R, the Company was informed that Alan G Semple, a
Director of the Company, completed the following transactions on 13 September
2012:

  * exercised 175,000 share options granted on 2 April 2004 under the John Wood
    Group PLC 2002 Executive Share Option Scheme, being 0.047% of the issued
    share capital of the Company, at an exercise price of £1.285 per share; and
   
  * sold 250,000 shares, being 0.068% of the issued share capital of the
    Company, on the London Stock Exchange at a price of £8.41 per share:
   
Following these transactions, Mr Semple holds 602,853 ordinary shares
representing 0.162% of the issued share capital of the Company, of which
546,780 shares are held directly and 56,073 shares are held with a beneficial
interest only. Mr Semple also holds 40,000 share options.

The Company's issued capital consists of 371,275,384 ordinary shares with
voting rights.
